Urgent requirement for C S in a areal estate firm in GurugramJ D:Responsible for the Secretarial Functions of the Companies & LLP.Managing E-Filing of Annual Returns/E-Forms for compliance with the provision of the Companies Act, 2013.Maintenance & updation of statutory registers under the Companies Act, 2013.Preparation, Maintenance & updation of records including Resolution,Notice, Agenda, Notes to the Accounts, Board Meeting Minutes, Annual General Meeting Minutes, Extra Ordinary General Meeting Minutes and other committee meetings as required under the companies Act, 2013.Drafting, Vetting and reviewing of legal agreements, business agreements, lease deeds, MOU etc and filing replies in response to notices.Dealing with Advocates in respect of the companys legal issues and /or briefing of the cases/complaints.Liasioning with various banking channels regarding the Filing of Charge Form to Registrar of Companies.Handling the formation and incorporation of LLP, Companies, MOA, AOA and filing various forms with ROC.Preparation of the Share Certificates and Share Transfer Forms.Compliance of Corporate Governance norms as prescribed under corporate laws, regulations and guidelines.Providing support to operation, HR and other departments of the company regarding companies and legal affair matters.Coordinate with Registrar of companies, Regional Director, Lawyer, Bankers, Statutory Auditors regarding the company matters on case to case basis.To obtain approval from the Board , Shareholders as required under the provision of the companies act, 2013.To prepare stamp papers from egras & other state websites for the use of companies, LLP.
