Roles and Responsibilities: Ensuring that the company complies with its Memorandum and Articles of Association and drafting and incorporating amendments in accordance with the procedures Preparation of notice, agenda and notes to the agenda for the meetings of the Board and shareholders of the company Coordinating the publication and distribution of the company s annual report, accounts, and interim statements in consultation with the company s internal and external advisers, in particular, when preparing the directors report Conducting board meetings and shareholders meetings and preparing minutes for the same Filing of returns and documents with statutory authorities like ROC, Regional Directors Coordination with statutory auditors in respect of secretarial matters at the time of audit Coordination with Internal Auditors in respect of statutory/legal compliances Maintenance of statutory registers/records/forms of the company Corporate Governance - compliance with Company Law and SEBI Guidelines Providing assistance related to compliance with corporate law matters, including due diligence Monitoring and laying in place procedures which allow for compliance with relevant regulatory and legal requirements, particularly under the Companies Act, Rules, Regulations, Guidelines, etc. Developing business contracts, affidavits, Power of Attorneys, Indemnity Bonds and providing technical support to the management to enforce contractual terms and conditions Providing assistance in drafting of court pleadings on behalf of the company, coordinating with the company s advocate in legal matters and with the company s consultants for taxation matters.,
