Location: Chennai Experience: 20 - 25 years (15 years experience in Corporate law and Secretarial function and 5 years experience as a practicing lawyer (Preferred) ) A) Strategic: 1) Controlling, managing and directing the activities of the Legal and Secretarial functions 2) Providing professional and strategic advice to the Board and senior management pertaining to the Legal and Secretarial functions 3) Instructing, and drafting briefing material for, external providers of legal services 4) Providing legal and related advice regarding the actions and measures necessary to secure/ facilitate compliance with the business obligations 5) Proactively formulate risk mitigation strategies that protect corporate capital and profitability 6) Maintain strong network and support the Management in appointment of Independent Directors. B) Financial: 1) Negotiate and empanel external legal counsel for representing the company on various matters 2) Manage the Annual Budget for the Department C) Customer: 1) Provide Legal and Secretarial advise to the Business Heads 2) Provide contractual support to the Shareholders, EPC contractor and JV Partners 3) Managing and interface with the Government authority and other external stakeholders on an ongoing basis D) Internal Process/ Operations: 1) Setting up contractual policy, identifying areas of risk in relation to commercial and contractual legal issues and providing solutions to manage the risks 2) Finalizing terms & conditions of contracts, settlement agreements, performing analysis to ensure that contracts are within negotiated & agreed-upon parameters 3) Identified potential legal problems, provided legal advice, guidance and leadership to clients and team related to regulatory policy and business operations 4) Ensuring vendor due diligence and compliance with corporate governance. 5) Structuring, drafting & inspecting the legal documents along with the preparation of Suits, Complaints & Legal Notice, Petitions, Appeals, Written Statements, Rejoinder and Arguments 6) Overall compliance under the Companies Act 1956, listing agreement and under various SEBI Regulations 7) Conducting of Board Meetings, Audit Committee Meetings and drafting Minutes thereof. E) Learning and Development: To keep abreast with the latest developments, Judgements, amendments and circulars pertaining to legal and and Secretarial functions and share the learning with the Team Key Skills: -Fundamental knowledge of all contract laws, Drafting skill, -Understanding/ Interpretation of Documents -Legal Practice in court, practicing lawyer -Communication skills -Negotiation Skills -Interpersonal Skills -Decision making skills -Perseverance & patience ,
