Job Description

    Position: Deputy Manager SecretarialQualification: CS, MBAExperience: 1 to 3 yearsLocation: DelhiCompliance under Companies Act
    • Prepare and file forms, returns, and reports etc. as per provisions of Companies Act.
    • Maintain the statutory registers to comply with the provisions of Companies Act
    • Prepare drafts for appointment, re-appointment of Directors/ Managing Directors and other company law related matters.
    • Coordinate for obtaining mandatory declarations from directors or annual disclosures mandated by Companies Act.
    • Prepare drafts in the required formats to intimate the change in directorships .
    • Coordinate to update the Digital signatures used for official correspondence and communication.
    Board, Shareholders, Committee level meetings
    • Coordinate and prepare the schedule for the board, committee and shareholder meetings.
    • Convening and conduct of board, committee and shareholder meetings, preparation of draft minutes of the meeting, ensuring compliance with Secretarial Standards
    Secretarial Audit, Statutory Audit, Internal Audit & SEBI Inspection
    • Furnish required data to the auditors for the purpose of the audits.
    • To support and its subsidiaries maintain compliance with Companies Act, SCRA, IPR & corporate governance norms through proper reporting
    • Filing of information, coordination for board, committee and shareholder meetings, coordination for amendment of byelaws, rules & regulations and coordination for registration/ renewal of registration of trade and service marks.
    Compliances under SEBI (LODR) Regulations, 2015
    • Ensure compliance of Disclosure and Corporate Governance norms on an ongoing basis
    • Prepare drafts of various disclosures required to be made in the
    • Companys website, Annual Report & in other documents, issue of advertisement in Newspapers, etc.
    • Prepare report on compliance of Disclosure and Corporate Governance norms to obtain the certificate from PCS for submission to SEBI.
    Compliances under SCRA, SECC Regulations and Code of Ethics
    • Collate information required for submission of various reports, certificates, etc. required to be submitted to SEBI
    • Coordinate for obtaining the quarterly and annual disclosures on code of ethics from the Directors
