Job Description

    Company Secretariat is part of FIL s General Counsel team which services all aspects of FIL s mutual fund, institutional and investment businesses.The role of Fidelity s Company Secretariat is to provide high quality, value-add professional company secretarial/governance services, which comply with all legal and regulatory requirements, to business partners, FIL corporate entities and managed funds.Purpose of your roleThis full-time role will be an excellent opportunity for someone with relevant company secretarial experience. Reporting to Head of APAC Co-Sec / Company Secretary, the job holder will work with senior members of the Global company secretarial team and have the responsibility of providing company secretarial support to ensure the correct operation of the FIL s funds and companies within relevant laws and regulations, including companies based in EU, and to assist with the support of the governance frameworks.The role will also involve working closely with other FIL departments in Europe, Asia and Bermuda including legal, fund accounting, compliance, finance and product development, as well as external advisers including auditors and legal advisers.Key ResponsibilitiesProvide assistant company secretarial support to the senior members of the Global company secretarial team in respect of FIL s mutual fund, institutional and investment businesses to ensure:
    • that the funds and entities comply with applicable local laws and regulation
    • the smooth running of the funds companies affairs including:
    • coordinating and supporting the preparation for Board meetings, Committee meetings and other statutory meetings
    • drafting agendas and resolutions to ensure they are accurate, coherent and that Board papers have received the necessary internal business sign-offs and that these are complete, accurate and of high enough standard to present to the Board. Upload onto FIL s Board meeting portal (Convene) as needed.
    • ensuring timetables are followed
    • providing accurate and timely information to other stakeholders in accordance with agreed deadlines
      • all regulatory and legal filings are carried out within deadlines and FIL s corporate database (Blueprint) records are kept up to date
      • efficient process of all governance and operational support matters related to the corporate life of a fund/company
      • appropriate support for document execution, as may be required
    • adequate key man cover
    Experience and Qualifications Required
    • Qualified Company Secretary - member of the Institute of Company Secretaries India (ICSI), overseas Co-Sec qualifications or memberships an advantage
    • Very strong business English skills
    • 4-6 years relevant company secretarial experience (or equivalent)
    • A strong team player
    • Excellent attention to detail
    • Strong delivery focus and can do attitude
    • Knowledge of laws and regulations would be an advantage
    • Experience of the asset management industry would be an advantage
    • Excellent communication skills
    • Ability to manage multiple priorities and prioritise workload
    • Resilience
    • French and/or German an advantage
    • Appreciation for cultural differences within a multinational firm.
