Job Description

    About the opportunityDepartment DescriptionThe Company Secretariat function is a global team within Fidelity s General Counsel department. It provides a comprehensive and global company secretarial and governance service. This includes managing board corporate governance, maintaining companies in good statutory standing, and contributing to regulatory projects as required. The function supports the main Fidelity International board, as well as the boards of a subsidiary regulated companies and managed open-ended funds across Europe, Asia Pacific and Bermuda.Purpose of your roleYou will be part of APAC Company Secretariat supporting 45 entities across the Asia Pacific region. You will work closely with senior team members and primarily assist in managing Board meetings/ documentation including uploading Board Packs on Azeus Convene and maintenance of statutory registers including maintaining company information on FIL s corporate governance system (i.e., BluePrint).Key Responsibilities
    • Assist with all aspects relating to Board, Committee and Shareholder meetings
    • Maintaining current statutory information in the company secretarial software system (Blueprint)
    • Assist in collation and distribution of board papers and uploading Board Packs on Azeus Convene
    • Responsible for ensuring that teleconferencing details are set up correctly and that all Board members and attendees have received the meeting details prior to the meeting
    • Coordination of appointment and resignation of directors/ company officers in compliance with the relevant Company Law, including liaison with the Compliance departments to ensure all statutory notifications are made on time
    • Proactive management and preparation of all statutory filings & business registrations
    • Ensuring the Company s statutory registers are maintained in accordance with the relevant Company Law
    • Other company secretarial tasks as instructed
    Experience and Qualifications Required
    • Qualified Company Secretary- member of the Institute of Company Secretaries India (ICSI)
    • 4-6 years company secretarial experience, ideally within Financial Services
    • Excellent communication skills, written and verbal, keen attention to detail
    • Ability to multi-task and prioritise workload
    • Self-starter demonstrates good use of initiative with an enquiring/questioning nature
    • Exceptional organisational skills
    • Excellent team player
    • Appreciation for cultural differences within a multinational firm
    • Must have prior experience of working in a global organisation with teams outside India
    • A good team player and a strong professional, capable of working with junior as well as senior staff
    • Ability to independently manage issues
    • Strong oral and written communication skills; excellent judgment; business sense; high standards of ethics, honesty and integrity
    • Understanding of business goals and customer focused
