Job Description

The Corporate Governance department is part of our Statutory Compliance service offering and provides Vistra clients with the following services:

  • Providing Annual Company Secretarial Services Board Meetings, General Meetings, Annual Filing with Company Registrar/House, Maintenance of Statutory Registers etc.
  • Ensuring that the company s composition meets local regulatory requirements and keeps apace with statutory reforms,
  • Advisory Services such as change of name, change in directors, change in year end, Change in Auditors, etc.
  • Supporting positive corporate governance such as the supply of policies to cover anti - bribery, data privacy or export controls.
  • Develop and manage key internal and external relationships to drive quality improvements and ensure a proactive corporate governance service
  • Should have knowledge of UBO & data protection

Key Responsibilities

Prepare minutes of board meetings and annual general meetings documents
  • Prepare necessary documentation /forms due regulatory or Adhoc changes - Appointment, removal and retirement of directors; Auditors, Change of accounting period, registered office, or name,
  • Submission of Annual Return, Adhoc form/return with Company Registrar/House. Liaise with compliance department colleagues re prompt statuary filings. Deal with changes in branch details and places of business / representative offices. Develop knowledge of local requirements in portfolio countries , document and promote within Operate within department systems and processes to ensure accuracy and quality targets are met in time

    Relevant Experience & Skills

    Must have 3 to 5 years of relevant experience Ability to understand and interpret legal/regulatory concepts
  • Excellent organisational skills
  • Attention to detail Strong oral and written communication Ability to take ownership and responsibility Able to work to targets Intelligent an aptitude and appetite to learn Good PC skills and the ability to work with systems

    Professional Qualifications

  • Qualified Company Secretary with degree or professional qualification in law
  • Relevant experience in a client facing advisory or regulatory role.
  • Proven track record of delivering a high quality client service in a fast paced and demanding workplace
  • Working in different time zone
  • May on rare occasions, require to travel to Vistra global offices
