This in turn helps us to provide better support to our broad client base.The Role ResponsibilitiesCompany Secretary & Compliance Officer

  • To ensure compliance with the Companies Act, SEBI, RBI other relevant legislation, Subsidiary Governance Policy and any standards/guidelines issued by Group Corporate Secretariat.
  • To comply with the listing requirements and UPSI under the SEBI regulations
  • To manage the requirement to file reports or events with ROC, SEBI, RBI and/or regulators and to act as a focal point of contact to the Board of Directors and shareholders of the company.
  • To ensure that the Board has adopted a Schedule of Matters Reserved for the Board and all Board Committees have adopted Group endorsed Terms of Reference and all necessary Board approvals (Statutory or as required by the Group Delegated Authority Manual) are in delivered in a robust and timely manner.
  • To ensure there is a robust Board & its Committees and Shareholders meeting planning & recording process in place including, but not limited to, rolling agendas in advance in timely manner, provision of board papers and liaison with the business.
  • To provide up-to-date and relevant guidance to the Board, Directors (including training and induction) and the business on the application and interpretation of legislation, governance regulations and policies relating to corporate governance applicable to the business.
  • To ensure that business conducted in the Company is as per applicable regulatory approvals/guidelines.
  • Ensure that all business streams complete their periodical compliance/operational risk reviews and report the risks to the Board of Directors while working with business stream leaders to mitigate possible risk.
