Job Description Position: Company Secretary + Legal Non Litigation Manager (FMCG Retail & E- Commerce Retail Industry)Location: MumbaiIndustry: FMCG Retail & E- Commerce Retail IndustryExperience: 5- 6 years of work experience 1. Profile : A Law graduate along with CS from ICSI with 5- 6 years of work experience in the areas of Legal, Secretarial and other corporate governance matters preferably from Retail sector. This job involves frequent interaction with the top management including the Board Members, functional heads and other employees internally and externally with partners and strategic vendors and represent the organisation at various forums. 2. KEY OBJECTIVE OF THE JOB : To strengthen systems to ensure that all Legal and Secretarial requirements of the organization are adhered to as per existing laws and regulations 3. MAJOR DELIVERABLES: - To create and advice on all Legal Agreements entered between the organization & its brand/ strategic partners and any other 3rd Party vendors/ suppliers. - Handling matters connected with Meetings of Shareholders and Board of Directors and other Internal Meetings of the Management- Responsible for compliance as required to be performed under the Companies Act, FEMA, Legal Metrology, Consumer Protection Act etc; - Responsible for filing of various forms and documents with ROC under MCA- 21 - Co- ordination, monitoring and compliance with various applicable laws to the Company; - Liaison with RTA, Banks, Regulatory Authorities and various departments internally for Secretarial and Legal matters; - Drafting & Vetting of routine legal Agreements; - Memorandum of Understanding for entering into various business engagements/ ventures; - Drafting of minutes of meeting of Shareholders, Board of Directors and Committees thereof; - Drafting corporate documents for notarization, registration and notification; or drafting agreements and resolutions and connected documents. - To monitor progress against business plans and provide course corrections where needed. - To create strong mechanisms and conduct periodic review for compliance and adherence to local laws. And be conversant with the Compliance tool working. - To build a strong scaling- up mechanism aimed at enhancing the future growth of the organisation,
