: - The company secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented - Organising & preparing agendas and papers for Board Meetings. - Taking minutes & drafting resolution. - To monitor & follow up action taken after the meetings, and maintain a rolling agenda. - Lodging & filing required forms and annual returns with ROC & to maintain secretarial records. - To Co- ordinate with Office of the Registrar of Companies, Company Law Board, Office of the Official Liquidator, Trademark Registry Office, Office of the Registrar of Firms, CDSL, RBI, Corporate Clients, Advocates, Auditors etc. - Maintaining statutory books, including Registers of Members, Directors etc. - Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated. - Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management s attention. - Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies. - Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action. - Ensure compliance with statutory requirements and governance best practice under Company s Law & relevant acts. - To assist in the preparation of Annual Reports and statutory Returns. - Liaising with external regulators and advisers, such as lawyers, auditors, CLB etc. - Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken. - Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements. - Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time. - Take a flexible approach to relevant issues and act promptly to ensure situations are dealt with appropriately and effectively. - Should have some understanding on Basic features of GST. - Overseeing policies, making sure they are kept up to date.,
