Job Description

    As a Legal Assistant Manager at our company, your role will involve managing various legal functions such as contract lifecycle management, regulatory compliance, corporate legal advisory, and close coordination with the Company Secretary and business units. You should be a strategic legal thinker with a hands-on approach and a strong understanding of the legal and regulatory framework applicable to public limited companies.**Key Responsibilities:**- Draft, review, negotiate, and finalize commercial contracts, vendor agreements, NDAs, service agreements, and MoUs.- Ensure risk mitigation through proper contractual structuring and enforceability.- Maintain a centralized contract repository and monitor renewal timelines and obligations.- Implement best practices for contract life-cycle management.- Ensure compliance with applicable corporate, commercial, labor, and sectoral laws and regulations (including Companies Act, SEBI Regulations, etc.).- Support implementation and monitoring of internal compliance frameworks, risk registers, and legal audit protocols.- Liaise with external legal counsel and regulatory authorities, as required.- Maintain updated knowledge on regulatory changes impacting the organization.- Work closely with the Company Secretary on corporate secretarial matters including board/shareholder resolutions, regulatory filings, annual returns, and minutes.- Assist in preparing legal documentation for board and committee meetings.- Support in drafting and maintaining statutory registers and compliance reports.- Understanding of Indian foreign exchange laws under FEMA, RBI regulatory framework, and intellectual property laws.- Provide sound legal advice to internal stakeholders on operational, commercial, and strategic matters.- Partner with business functions to proactively identify legal risks and provide timely solutions.- Support due diligence, M&A activities, joint ventures, and corporate restructuring as needed.**Qualifications & Experience:**- Bachelors degree in Law (LL. B); Masters degree (LL. M) preferred.- 6 to 10 years of post-qualification experience, preferably with a mix of in-house attorney background.- Prior experience working with or advising public limited companies is highly desirable.- Strong knowledge of Indian corporate laws, SEBI regulations, commercial laws, and regulatory compliance.**Key Skills & Competencies:**- Excellent contract drafting and negotiation skills.- Strong analytical, legal research, and problem-solving abilities.- High level of integrity, professional judgment, and attention to detail.- Ability to work cross-functionally with Company Secretary, finance, business, and operations teams.- Proactive, organized, and able to handle multiple priorities in a fast-paced environment.
