Job Description

    Legal Counsel- Bangalore PQE of 2-3 years, Legal candidates from Ecommerce/ Law firms with experience in M& A contract drafting only apply- Only immediate joiners, max 30 days Np- Bangalore based candidates only- FEMA regulation working experience is mandatory - A law degree from a Tier - II Law college- Knowledge of Companies Act, FEMA Regulations, Contracts Act and employment laws- Ability to lead fast-paced projects with strong attention to detail- Ability to resolve business problems with applicable legal framework- Strong analytical skills, critical thinking and writing skills, ability to manage and prioritise multiple projects, follow through and meet deadlines- Experience- 2 to 3 years- Salary - Upto 20 LPARoles & Responsibilities:- Drafting and negotiating transaction documents including term sheets, definitive agreements, shareholders agreements, business transfer agreements, closing documents for the transactions- Drafting, reviewing, and negotiating commercial contracts including agreements relating to procurement, service, consulting, distribution, external manufacturing, sales, license, intellectual property, and other legal agreements- Advising the companys mergers & acquisitions team and the business team on a varied range of legal and regulatory issues- Leveraging the systems for workflow management, tracking and communicating the status of legal matters- Solving legal issues with minimum supervision, while escalating issues to relevant internal teams- Analysing and summarising transactions and deal-specific deviations from standardised templates- Ensuring implementation and compliance with companys policies across portfolio brands- Assisting the brands with identification, registration, transfer, and protection of their IP,
