Job Description

The Impact:

  • You will be responding to internal client inquiries, providing valuable support in the handling of legal matters and all aspects of contract process, reviewing contracts, training the commercial organisation on legal and contracting procedures, negotiating and drafting contracts for financial information and analytical products and services and assisting with special projects as needed.

Responsibilities:

  • Responsible for legal oversight and advice on agreements and other matters impacting the SPGMI products and services.
  • Draft and negotiate a variety of agreements, including but not limited to, complex strategic agreements, NDAs, customer agreements for SPGMI products and services and data vendor agreements.
  • Utilize legal knowledge and skills to manage and mitigate the risk of disputes and breach by the company. Provide legal support for resolution of day to day matters relating to agreements and intellectual property matters, including resolution of disputes.
  • Develop, maintain, and update boilerplate/standard forms (regulated, advisory, and software products) as needed and in response to changing markets and industry trends and practices.
  • Responsible for enforcement of and training on appropriate policies and procedures.
  • Involvement in variety of projects, including due diligence activities related to acquisitions and divestitures, archiving, and other projects as needed.
  • Working directly with internal and external clients in the contract negotiation process, including ensuring that sales and business comply with company s processes and guidelines. Developing, updating and maintaining various boilerplates/standard forms. Delivering legal and best practice training to the business Working with legal colleagues globally, in London, Asia-Pacific and the United States, on legal initiatives and projects. Participating in the development and implementation of corporate wide policies, compliance and strategies.
  • Provide guidance with respect to and ensure compliance with applicable S&P Global policies, including policies regarding licensing and branding.

What We re Looking For:

Basic Qualifications/Experience:

  • India qualified lawyer with 4 years of PQE in drafting, negotiating and advising on commercial agreements in either law firm or in-house legal position (in-house experience desirable).
  • Commercially aware lawyer with the ability to assist the business in assessing risk.
  • Strong working knowledge of contract, intellectual property law and an understanding of the international laws of the jurisdictions where SPGMI does business e.g. US, UK etc. This includes protection of copyright and other proprietary rights, data privacy, warranties, indemnification, disclaimer of liability and information reuse provisions
  • Excellent organizational and communication skills; ability to think outside of the box. General understanding of financial products and services.
  • Ability to work independently with minimal supervision.

Preferred Qualifications/Experience:

  • Excellent interpersonal skills. You should be people oriented, collegial, and confident with frequent client-facing interactions (via e-mail, phone, and in-person).
  • Experience of working on Contract management tools (such as salesforce).
  • Working Experience in the financial services industry and coordinating with sales and product management departments
  • Ability to stay current with the rapidly evolving industry trend and practices, as they relate to the financial services industry, data, intellectual property, technology, etc.
  • Advanced knowledge and experience of Microsoft applications, including Word, Excel, Adobe, Outlook and PowerPoint as well as familiarity with a contract database-type system.
