Job Description

    1. Regulatory Compliance
    - Stay updated on the regulatory framework governing NBFCs and ensure that the company complies with all applicable laws and regulations.- Submit various reports and filings to regulatory authorities within stipulated deadlines, including the Reserve Bank of India (RBI) and other relevant bodies.
    1. Board Meetings and Shareholder Meetings
    - Preparation and organization of board meetings and shareholder meetings independently.- Ensure that all statutory and regulatory requirements related to these meetings are met, such as proper notice, agenda, and minutes.
    1. Corporate Governance
    - Promote and uphold corporate governance standards within the organization.- Advise the board on corporate governance best practices and ensure their implementation.
    1. Compliance Documentation
    - Maintain and update statutory records and registers as required by law.- Ensure the proper filing and maintenance of company documents, including Memorandum and Articles of Association.
    1. Legal and Regulatory Advice
    - Provide legal and regulatory advice to the board and senior management on various matters, including contracts, investments, and compliance issues.
    1. Risk Management
    - Contribute to the identification and management of legal and regulatory risks.- Assist in the development and implementation of risk management policies and procedures.
    1. Corporate Communication
    - Act as a liaison between the company, its directors, and shareholders.- Ensure effective communication of corporate information to stakeholders.
    1. Secretarial Audit
    - Coordinate and oversee secretarial audits as required by law.- Address any issues or discrepancies identified during these audits.
    1. Compliance Training
    - Provide training to directors and employees on compliance matters and corporate governance.- Ensure that the organization has a culture of compliance.
    1. Annual Report and Financial Statements
    - Assist in the preparation and review of the annual report and financial statements. - Ensure that these documents comply with regulatory requirements and accurately reflect the financial health of the NBFC.
    1. Code of Conduct
    - Develop and enforce a code of conduct and ethics for employees and directors. - Ensure that the code is adhered to throughout the organization.
    1. Record Keeping and Documentation
    - Maintain proper records of board resolutions, minutes of meetings, and other important corporate documents.
    1. Compliance with NBFC-specific Regulations
    - Be well-versed in specific regulations and guidelines that pertain to NBFCs, such as capital adequacy norms, asset classification, and income recognition standards.
