Job Description

    Position: Company SecretaryQualification: CSExperience: 8 to 10 years Location: GurugramJob descriptionPrimary responsibilities include but are not limited to:
    • Responsibleforallsecretarialcompliancesforlistedandunlistedcompanies;
    • Hands-on-knowledge of Companies Act, SEBI Listing Regulations,SEBI Insider Trading Regulations, Takeover Code,etc.;
    • Ensuring Corporate Governance;
    • Drafting and vetting of Policies, SOP s and governance documents;
    • Preparation of Annual Reports for listed and unlisted entities;
    • Independently organizing and managing Board, committee and shareholders meetings for listed and unlisted entities;
    • Liaison with auditors, R T A ,regulatory bodies,etc.;
    • Maintenance of statutory records and registers;
    • Resolving the grievances of shareholders and investors;
    • E S O P management;
    • Acting as the bridge between Board Members and Management;
    • Well-equipped with MCA,SEBI and stock exchange website;
    • Updated with latest circulars and notifications issues by statutory bodiesw.r.t. secretarial laws;
    • Drafting skills;
    • Strengths to include Planning and time management
    Core requirements:
    • 8-10 years of demonstrated experience in the hospitality orrelated industries.
    • Excellentcommunicationandinterpersonalskillsastheincumbentwillpresenttoorinteractwithboardmembers& seniorexecutives.
    • Self-motivated in dividualwithaneye-for-detail.
    • Excellent task management skills should be able to perform and deliver on deadlines.
