Job Description

    Description:Role OverviewThe Junior Company Secretary supports the Company Secretary in ensuring compliance with the Companies Act, 2013, RERA regulations, and other applicable corporate and regulatory laws. The role also involves providing secretarial and compliance support in fund raising activities, lender documentation, and coordination with external stakeholders such as bankers, auditors, and legal consultants.Key Responsibilities1. Secretarial & Statutory Compliance
    • Assist in ensuring compliance with the Companies Act, 2013 and applicable rules.
    • Prepare and file statutory forms, returns, and disclosures with the Ministry of Corporate Affairs (MCA).
    • Maintain statutory registers, records, minutes books, and compliance calendars.
    • Support compliance related to shareholding, charges, resolutions, and filings.
    2. RERA Compliance Support
    • Assist in handling project wise RERA compliances including filings, updates, and disclosures on the MahaRERA/concerned State RERA portals.
    • Coordinate for preparation and submission of quarterly and annual RERA updates.
    • Maintain RERA related records, approvals, certificates, and correspondence.
    • Coordinate with project teams, finance, and legal consultants for ensuring timely RERA compliances.
    3. Board, Committee & General Meetings
    • Assist in preparation of notices, agendas, notes, and draft minutes for Board, Committee, and General Meetings.
    • Ensure proper documentation and follow up of resolutions and action items.
    • Support compliance relating to approvals required for fund raising and borrowings.
    4. Support in Fund Raising & Lender Compliance
    • Assist in secretarial documentation related to fund raising, borrowings, and creation of charges.
    • Prepare and coordinate execution of board resolutions, shareholders resolutions, and corporate approvals required by lenders.
    • Support filings related to charge creation, modification, and satisfaction with MCA.
    • Coordinate with bankers, trustees, and legal consultants for documentation and compliance requirements.
    5. Documentation & Coordination
    • Maintain corporate, statutory, and project related records in physical and digital form.
    • Assist in drafting routine corporate documents, declarations, confirmations, and compliance notes.
    • Coordinate with auditors, legal consultants, and regulators during audits, due diligence, and inspections.
    6. General Governance & Compliance Support
    • Track due dates and ensure timely completion of compliance activities.
    • Assist in implementation of corporate governance practices and internal controls.
    • Stay updated on amendments to corporate laws, RERA regulations, and compliance requirements applicable to the Company.

    4. Proficiency in MS Office and MCA / RERA portals.

    Preferences:Qualifications & Experience
    • CS Executive / CS Inter qualified (or pursuing CS Final).
    • 13 years of experience in secretarial, corporate compliance, or real estate sector preferred.
    • Basic understanding of Companies Act, RERA, MCA filings, and fund raising documentation.
    • Age 20- 35 years
    1. Working days - 2nd and 4th Saturday is holiday
    2. Working hours - 10 to 6:30 PM
