Job Description

    Position: Assistant Company SecretaryDepartment: Secretarial, Legal & ComplianceLocation: MysuruReporting to: Company Secretary / Chief Compliance OfficerType: Full-timeJob Summary:The Assistant Company Secretary will support the Company Secretary in ensuring the company complies with financial and legal requirements, as well as maintaining high standards of corporate governance. This role involves managing regulatory compliance, preparing board and shareholder meetings, and maintaining statutory records. The role is critical for ensuring the smooth functioning of the Board and its committees, ensuring all relevant laws, regulations, and corporate governance guidelines are adhered to.Key Responsibilities:1. Corporate Governance:Assist in ensuring compliance with the Companies Act, SEBI regulations, and other statutory requirements applicable to listed companies.Facilitate the implementation of corporate governance best practices.Manage the development and implementation of policies and procedures to enhance governance frameworks.2. Board and Committee Support:Prepare and distribute notices, agendas, and minutes for Board, Committee, and General Meetings.Coordinate the logistics for Board and Committee meetings, including scheduling, venue arrangements, and distribution of board papers.Assist the Company Secretary in advising the Board on their responsibilities under the rules and regulations to which they are subject, including compliance with the Listing Regulations.3. Regulatory Filings:Ensure timely and accurate filing of statutory returns and forms with regulatory bodies such as the Registrar of Companies, Stock Exchanges, and SEBI.Assist in the preparation and submission of the Annual Report, financial statements, and other disclosures required under the Listing Agreement.4. Stakeholder Communication:Handle correspondence with regulatory authorities, shareholders, and other stakeholders.Manage the process of communication with investors, including the publication of company results, notices, and announcements.5. Record Keeping:Maintain and update statutory registers, records, and other corporate documents.Oversee the safekeeping of company seals and other critical corporate documents.6. Compliance Management:Monitor and ensure compliance with SEBI regulations, stock exchange requirements, and other applicable laws.Assist in managing compliance audits and liaising with external auditors, legal advisors, and regulatory authorities.7. Risk Management:Support the identification and management of potential compliance risks.Assist in developing and implementing policies to mitigate identified risks.8. Other Responsibilities:Assist in drafting and reviewing legal documents and contracts.Provide support in the preparation of the companys Annual General Meeting (AGM).Support the Company Secretary in handling corporate restructuring activities, mergers & acquisitions, and other corporate actions.Qualifications and Skills:Education: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).Experience: Minimum of 1-2 years of relevant experience, preferably in a listed company or a corporate legal environment.Knowledge: Strong understanding of corporate laws, SEBI regulations, and the Companies Act. Familiarity with stock exchange listing agreements.Skills:1. Excellent communication and interpersonal skills.2. Strong organizational and time-management abilities.3. High attention to detail and accuracy.4. Proficiency in legal and secretarial software.5.
