Job Description

  • CS with about 1 years of Post-Qualified Experience.
  • Preferable with LLB qualification.
  • For corporate compliance and advisory work.
Specific Responsibilities :Secretarial and compliance work
  • Strong understanding of Companies Act, Factories Act, Contract act, FEMA, SEBI, RBI, Arbitration.
  • Handling of all ROC compliance under the Companies Act 2013.
  • Skilled in drafting resolutions, conducting board and shareholders meetings, pre and post Compliances for Board/ General Meetings.
  • Preparation of Annual Report & Board Report.
  • Coordinating in Statutory Audit of the Company.
  • Preparation and Filing of Annual Return of the Company.
  • Registration of charges, status, and search reports.
  • All work relating to shares and their transfer and transmission.
  • Maintaining and updating of statutory records and registers
Qualifications: CS/LLB (preferred) Desired Characteristics:
  • Well verse with Rules and regulation of DGFT, DGCA.
  • Good knowledge of company law, and other business laws; and statutory compliances.
  • Knowledge and experience in relation to labour laws and its compliances.
  • Working on RBI compliances under FEMA.
  • Knowledge and experience in Intellectual property laws.
  • Experience in Legal documentation and security creation for Bank Borrowings/ Project Finance/ Debt Finance.
  • Knowledge and Experience in Legal documentation and Compliances for raising Equity.
  • Monitoring and Governance of Contracts Drafting and standardizing all legal documents relating to the Company.
  • Skilled in Drafting and Vetting of various Commercial Agreements.
  • Creating and updating various trackers.
  • Maintaining various MIS pertaining compliances.
  • Performing all incidental and ancillary functions to effect corporate law compliance.
  • Should be capable of working independently without any supervision or guidance.
  • Excellent communication and collaboration skills
  • Excellent written and spoken English language skills
