Job Description

    Company Secretary ABOUT USBlenheim Chalcot is one of the leading venture builders in the world. Blenheim Chalcot is responsible for building some of the most innovative companies in the UK and increasingly around the world with significant operations in India and the US, as well as emerging operations in South Africa and South East Asia.Our portfolio companies employ in excess of 4000 people, with the central BC team itself numbering 350 - and all are scaling up rapidly. Our assets under management are in excess of 1.6 billion.We are heading into a period of ambitious scaling at Blenheim Chalcot and across our businesses, in existing and new geographies. As a result, we re building out of finance capabilities and developing a new internal audit role.Role location: Remote within UK, with monthly travel to White City, London office THE ROLEOpportunityWe are looking for an ambitious individual to take on this new role ensuring our business administration processes are compliant, kept to high standards during our ongoing rapid change and scaling. The Blenheim Chalcot portfolio consists of over 100 privately held legal entities across the portfolio with the majority based in the UK, for which this role will primarily be responsible for. Based within the legal team, this role will have far reaching involvement with other departments and will play a pivotal part of our growth going forward.Key responsibilities and duties
    • Build relationships with the key contacts of our external administrators
    • Ensure the filing of accounts, name changes, changes to Articles, registering and deregistering of charges, director changes and updating PSC registers with associated board minutes in good time.
    • Maintaining and updating statutory records including share registers of UK companies, preparation and filing of documents with Companies House for all UK companies.
    • Work with finance, legal, investment and tax teams to execute on legal entity rationalisations and restructuring projects as they arise including reorganisations/mergers/liquidations/strike offs.
    • Supporting execution of corporate transactions across legal entities including board resolutions, amendments to Articles, changes in directorships, share issuances, distributions, capital reorganisations, M&A, share schemes.
    • Providing legal and strategic advice in accordance with the Companies Act 2006
    • Keep up to date with all regulatory and statutory changes, ensuring policies are updated and implications raised across the organisation
    • Advise board of directors and other stakeholders on corporate governance requirements
    • Implement processes and systems to help ensure good management of the organisation or compliance with legislation
    • Identify and monitor risks to business performance
    • Driving automation and simplification - including electronic execution across all Group Subsidiaries
    • Overseeing and owning all corporate secretarial third-party relationships globally and manage costs
    ABOUT YOUThe ideal candidate will be a should have a track-record in delivering results ideally in a fast-moving business and hence be comfortable with change and uncertainty. Excellent stakeholder management experience is essential to being successful in this role.The Ideal Candidate
    • CIG qualification preferred but not essential
    • Ability to work as part of a team on projects and independently for specific administrative matters
    • Strong organisational and administrative skills with an aptitude for using IT software
    • Will be comfortable handling all day-to-day governance matters alongside supporting and providing input to the board on governance matters.
