Location : Tumkur, Near Bangalore ( 60kms away from Bangalore) Qualification : CS ( membership of ICSI is a must i.e. ACS / FCS) Employee Size : 110 employees Responsibilities : Organise and prepare agendas and papers for board meetings, committees and annual general meetings (AGMs). Take minutes, draft resolutions and lodge required forms and annual returns with Companies House. Follow up on actions from meetings. Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval. Maintain statutory books, including registers of members, directors and secretaries. Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders. Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies. Monitor changes in relevant legislation and the regulatory environment and take appropriate action. Liaise with external regulators and advisers, such as lawyers and auditors. Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements. Pay dividends and manage share option schemes. Take a role in share issues, mergers and takeovers. Enter into contractual agreements with suppliers and customers Oversee public relations and aspects of financial management. Obtain and maintain a thorough understanding of the financial reporting and general ledger structure. Ensure an accurate and timely monthly, quarterly and year end close. Ensure the timely reporting of all monthly financial information. Assist the Controller in the daily banking requirements. Ensure the accurate and timely processing of positive pay transactions. Ensure the monthly and quarterly Bank Compliance activities are performed in a timely and accurate manner. Supports budget and forecasting activities. Collaborates with the other finance department managers to support overall department goals and objectives. Monitors and analyzes department work to develop more efficient procedures and use of resources while maintaining a high level of accuracy. Responds to inquiries from the Director of Finance, Controller, and other finance and firm wide managers regarding financial results, special reporting requests and the like. Work with the Controller to ensure a clean and timely year end audit. Supervise the general ledger group to ensure all financial reporting deadlines are met. Assist in development and implementation of new procedures and features to enhance the workflow of the department. Provide training to new and existing staff as needed. Work with each direct report to establish goals and objectives for each year and monitor and advise on the progress to enhance the professional development of staff. ,
