Position: Company Secretary and Lawyer Experience: 3 to 7 years PQE at a law firm or corporate legal department Qualification: CS. Membership in the Institute of Company Secretaries of India is mandatory Bachelor of Laws (LLB) from a reputed institute is mandatory Knowledge of secretarial duties in other Asian jurisdictions will be considered a plus Skills: -Experience working in a company secretarial function -Knowledge of Indian corporate laws, rules and regulations -Strong writtenverbal communication and interpersonal skills and an ability to work across diverse teams -Good at contract drafting, vetting, negotiation and providing a solution-oriented advice -Excellent organizational skills and attention to detail -Able to work independently -Sensitivity Confidential -Able to work across boundaries as part of a global team -Experience using online legal entity management software (Blueprint OneWorld) a plus -Experience using online electronic signature software and online document assembly software, a plus -Proficient in MS Office (Word, Excel and PowerPoint) -Preparing annual returns, documents, forms and notices and arranging for registrations and filings as required by relevant statutory law for subsidiaries registered or qualified to do business in India -Conducting and coordinating board meetings for Indian subsidiaries, including preparing agendas, minutes, consents and resolutions -Maintaining minute books and other records for Indian subsidiaries; updating global online corporate database as required -Preparing documents for the incorporation, merger and dissolution of Indian entities and coordinate related filings -Internal corporate restructurings and reorganizations -Assist the Regional Coordinator and work with local advisors on company secretarial matters in Asia (outside of India) -Support the Customers Commercials group of the Legal Department in India and across Asia with customer contracts, compliance matters, special projects and other initiatives -Drafting and negotiating commercial agreements (including partnership arrangements, licensing arrangements, customer contracts) -Supporting Privacy Office initiatives -Compliance Training for business stakeholders -Building self-help resources for business stakeholders (e.g. FAQs) -Assist lawyers and other legal professionals with information requests, corporate history matters and other questions -Coordinate with other Corporate departments, such as Tax, Treasury, HR and Accounting, as well as outside legal counsel and other external advisors and agents Other duties as assigned
